Introduction

This license agreement (“License”) is a legal agreement between you (“Licensee” or “you”) and Nimbus-T Global Inc. (“Licensor” or “we”) for the use of the Nimbus-Key WordPress Plugin (“Software”). By downloading, installing, or using the Software, you agree to be bound by the terms of this License. If you do not agree to the terms of this License, do not download, install, or use the Software.

 Grant of License

  1. Scope of Use

We grant you a non-exclusive, non-transferable, revocable license to use the Software in accordance with the terms and conditions set forth in this License.

 

  1. Permitted Use

– You may install and use the Software on a single WordPress installation.

– You may create a single backup copy of the Software for archival purposes, provided that you retain all proprietary notices on the backup copy.

 

Restrictions

– You may not distribute, sublicense, rent, lease, or lend the Software to any third party.

– You may not modify, decompile, disassemble, or reverse engineer the Software, except to the extent that such restriction is expressly prohibited by law.

– You may not use the Software to manage multiple WordPress installations without obtaining additional licenses.

 

Ownership

The Software is licensed, not sold. Nimbus-T Global retains all right, title, and interest in and to the Software, including all intellectual property rights. This License does not grant you any ownership rights to the Software.

 

  1. Feedback

Any feedback, comments, or suggestions you may provide regarding the Software is entirely voluntary, and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

 

 Maintenance and Support

  1. Updates

We may, from time to time, provide updates, enhancements, or improvements to the Software. Such updates may be provided free of charge or for a fee, at our sole discretion. This License applies to any updates or supplements to the original Software unless we provide other terms along with the update.

 

  1. Support Services

We may provide support services related to the Software (“Support Services”). The nature, extent, and duration of Support Services will be determined by us at our sole discretion.

 

Termination

  1. Termination by You

You may terminate this License at any time by uninstalling and destroying all copies of the Software in your possession or control. No refunds will be provided upon termination by you.

 

  1. Termination by Us

We may terminate this License immediately if you breach any of the terms and conditions of this License. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control. We reserve the right to terminate this License or suspend your access to the Software at any time, with or without cause, upon notice to you.

 

Limitation of Liability

  1. No Warranty

The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will meet your requirements or that its operation will be uninterrupted or error-free.

 

  1. Limitation of Liability

In no event shall Nimbus-T Global be liable for any damages whatsoever (including, without limitation, incidental, direct, indirect, punitive, special, or consequential damages) arising out of the use of or inability to use the Software, even if Nimbus-T Global has been advised of the possibility of such damages. Our total liability in any matter arising out of or related to this License is limited to the greater of (a) the amount you paid for the Software (if any) or (b) USD $100.

 

Indemnification

  1. Indemnification by Licensee

You agree to indemnify, defend, and hold harmless Nimbus-T Global, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Software, your violation of this License, or your violation of any rights of another.

 

Confidentiality

  1. Confidential Information

The Software, including its structure, organization, and source code, constitutes valuable trade secrets and confidential information of Nimbus-T Global. You agree to maintain the confidentiality of the Software and not to disclose or provide access thereto to any third party.

 

General Provisions

  1. Entire Agreement

This License constitutes the entire agreement between you and Nimbus-T Global regarding the use of the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Software.

 

  1. Governing Law

This License shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of laws principles.

 

  1. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this License, or the breach, termination, or validity thereof, shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The place of arbitration shall be San Francisco, California. The arbitration shall be conducted in English.

 

  1. Severability

If any provision of this License is found to be invalid or unenforceable, the remaining provisions of this License shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

 

  1. Waiver

No waiver of any term of this License shall be deemed a further or continuing waiver of such term or any other term, and Nimbus-T Global’s failure to assert any right or provision under this License shall not constitute a waiver of such right or provision.

 

  1. Assignment

You may not assign this License, in whole or in part, without our prior written consent. Any assignment in violation of this provision is null and void. We may assign this License, in whole or in part, at any time without notice to you.

 

  1. Notices
